Recent Spinoff Highlights

  • AI OKTO / AIOK: Toro completed its latest shipping-company spinoff on October 8, distributing one AI OKTO share for every eight TORO shares. AIOK began Nasdaq trading October 9. Toro also retained five million convertible preferred shares in the new company, an important consideration when valuing the distributed common stock. See our October transaction roundup.
  • Corteva / Vylor: Corteva completed its seed-business spinoff October 1, distributing one VYLR share for every CTVA share. Vylor retained S&P 500 membership, while post-spinoff Corteva moved to the S&P MidCap 400. Read our index and post-separation analysis.
  • Modine / Gentherm: Modine completed its Reverse Morris Trust transaction October 1. Shareholders retained their MOD shares and received 0.44619 THRM shares per MOD share. Former Modine shareholders obtained 43.62% of the expanded Gentherm, while Modine received approximately $156 million in cash. See the final transaction details.
  • Middleby / Midera: Middleby completed its food-processing equipment spinoff July 6. Midera trades under MFP, leaving Middleby as a more focused commercial foodservice equipment business.
