The closing terms ended up somewhat different from the transaction Modine and Gentherm announced in January. Former MOD shareholders now own approximately 43.62% of Gentherm rather than the roughly 40% initially contemplated, while Modine received about $156 million in cash rather than the approximately $210 million originally expected.

More THRM Stock, Less Cash to Modine
The final ownership split is probably the most useful number for MOD shareholders. They ended up with 43.62% of the post-transaction Gentherm, 3.62 percentage points more than the approximately 40% contemplated when the transaction was announced.
The offset is that less cash moved back to the remaining Modine. SpinCo distributed approximately $156 million to Modine at closing, and Modine used that money to repay debt. The original transaction contemplated about $210 million.
That means the final economics shifted toward more equity ownership in THRM and less cash retained by MOD. The change is not simply accounting trivia: it changes where former Modine shareholders have exposure after the separation.
What a MOD Shareholder Actually Received
A shareholder who owned 100 MOD shares at the September 28 record date keeps those 100 MOD shares and receives 44.619 THRM shares, with cash paid instead of the fractional 0.619 share.
Based on Gentherm’s September 30 closing price, the THRM stock distributed in the transaction was worth approximately $946.4 million in total. On the same basis, the 0.44619 THRM shares distributed for each MOD share represented roughly $17.80 of Gentherm stock per MOD share at closing.
That value will move with THRM’s share price. It is better thought of as the market value of the distributed stake at closing than as a fixed payment from Modine.
The $2.07 Gentherm Dividend Is Separate
Gentherm also finalized a special cash dividend of $2.07 per THRM share, above the approximately $1.90 estimate disclosed before closing. The dividend is payable October 7 to Gentherm shareholders of record on September 28.
That dividend does not belong to MOD shareholders merely because they received THRM shares in the October 1 transaction. The September 28 dividend record date applied to holders of Gentherm stock at that time, before the new THRM shares were issued to MOD holders.
The identical September 28 record dates for the Modine spinoff and the Gentherm dividend make the distinction easy to miss. They apply to different securities and different shareholder groups.
The Modine Name Went With Performance Technologies
The branding is almost as unusual as the transaction structure. Gentherm acquired the Modine brand, domains and trademarks and says it will continue to go to market as Modine.
The company that remains publicly traded as $MOD plans to change its corporate name to Modexus Solutions, subject to shareholder approval, while retaining the MOD ticker. It will continue to use the Modine brand for certain Commercial HVAC businesses under a license from Gentherm.
So investors will eventually have a company called Modexus trading as MOD, while Gentherm owns the Modine brand used by the former Performance Technologies operation.
The Two Investments Are Now Separate
MOD is now concentrated around Climate Solutions, including data-center cooling, commercial HVAC and refrigeration. Management has spent several years moving the portfolio toward those faster-growing thermal-management markets, and the Performance Technologies separation removes the large automotive and vehicle-related business from the parent.
THRM now combines Gentherm with Performance Technologies across automotive, commercial vehicles, heavy equipment, power generation and other thermal-management markets. Gentherm has identified approximately $25 million of annual run-rate cost synergies from the combination.
We covered the transaction mechanics when Modine set the record date for the Performance Technologies spinoff. At that point, the exchange ratio and final ownership split were still unresolved.
Those numbers are now fixed. For investors who owned MOD through the September 28 record date, the position has effectively become two investments: the remaining MOD business and 0.44619 shares of THRM for each MOD share previously held.
