Toro Spins Off Two Gas Carriers Into AI OKTO
Toro Corp. ($TORO) completed the spinoff of AI OKTO Corp. ($AIOK) on October 8, distributing one AIOK common share for every eight TORO common shares held on the October 1 record date. Nasdaq scheduled AIOK’s first regular trading day for October 9. The new company received two liquefied petroleum gas carriers, the LPG Dream Arrax and LPG Dream Vermax, along with $45 million in cash and the settlement of certain intercompany obligations.
The common-stock distribution tells only part of the story. Toro disclosed that it retained five million shares of AI OKTO’s 1% Series A convertible preferred stock, with a stated amount of $5 per share. That is $25 million of stated preferred equity sitting alongside the newly distributed common stock. Anyone valuing AIOK by simply adding the vessels and $45 million in cash should first examine the preferred terms and any remaining obligations.
Toro itself was spun off from Castor Maritime in 2023 and subsequently spun off Robin Energy in 2025. It has now distributed another shipping subsidiary while retaining a preferred interest in it. AI OKTO’s announced strategy includes pursuing AI-enabled maritime operations, although two ships, cash, and the rights of the preferred holders are more immediate inputs to a valuation than an untested technology ambition.
Thyssenkrupp Plans to Distribute 49% of tk accelis
Thyssenkrupp (OTC: $TKAMY) is preparing to list its materials distribution business, tk accelis, with a structure that stops short of a full separation. Shareholders approved the transaction in August and are slated to receive one tk accelis share for every 20 thyssenkrupp shares. The parent will keep 51% of tk accelis, while 49% will be held directly by its existing shareholders.
Reuters reported on October 5 that the company is targeting October 28 for the Frankfurt listing, citing people familiar with the matter. That is a reported target, not a finalized trading date in thyssenkrupp’s August transaction announcement, which specified a listing during 2026.
The retained majority stake is consequential. Public-market investors may get a stand-alone quote for a global materials distributor, but thyssenkrupp will continue to control the subsidiary and consolidate its business. The separation creates a price for the minority stake without resolving every conglomerate-discount or governance question. For holders of U.S. ADRs, broker treatment of the German distribution is also worth checking once final corporate-action instructions are available.
MiniMed’s Final Exchange Ratio Is 4.5939. Proration Comes Next.
Medtronic ($MDT) fixed its MiniMed ($MMED) exchange ratio at the 4.5939-share cap on October 7, confirming the constraint we examined during the pricing period. The offer was scheduled to expire October 9, with acceptance and any proration figures still outstanding as of October 11; qualifying holders of fewer than 100 MDT shares who tendered all their shares are exempt from proration. Medtronic’s final-ratio release confirms the terms, but the tender results will determine how much stock ordinary participants actually exchange.
Other Spinoff Developments
Flex/Axiom: Flex ($FLEX) agreed October 5 to raise $2 billion for its planned Axiom ($AXM) spinoff through convertible preferred shares placed with investors including General Catalyst and Koch Equity Development, at an initial enterprise valuation of $37.5 billion. The security carries a 10% annual cash dividend before separation, falling to 6% cash or 7% paid in kind afterward, and sits alongside debt expected for the EPC Power acquisition. That gives readers of our Axiom Form 10 analysis another important capital-structure input before the planned first-quarter 2027 separation.
Johnson & Johnson/DePuy Synthes: October 14 marks one year since Johnson & Johnson ($JNJ) announced plans to separate its orthopaedics business. J&J’s second-quarter filing still described multiple possible transaction structures and retained the original 18–24-month target, implying a completion window of roughly April–October 2027. There is still no announced distribution ratio, ticker or definitive spinoff structure.
Airtel Money: Airtel Africa’s mobile payments subsidiary began conditional London trading on October 9 under the London symbol AMC, following a 270-million-share secondary offering priced at £1.96 a share; the London Stock Exchange confirmed the debut. Unconditional trading is expected October 14, while Airtel Africa remains a controlling shareholder. This is a partial IPO, with existing holders selling shares, rather than a distribution of Airtel Money shares to Airtel Africa shareholders.
Two October Dates Still Worth Marking
Madison Square Garden Sports ($MSGS) published its shareholder information statement on October 9, retaining the October 20 record date and October 26 distribution date for the Rangers spinoff. The future Knicks and Rangers companies are expected to trade as $MSGK and $MSGR, respectively, beginning October 27. We have the full distribution mechanics and a separate look at franchise valuations.
UPM’s WISA Group demerger remains scheduled for October 31, with the new company’s Helsinki trading expected around November 2, according to UPM’s transaction timetable. Its first capital markets day gave investors an early look at the business, covered in our September WISA analysis. Both separations are close enough that final market notices and distribution instructions deserve more attention than another repetition of the original deal announcements.
