The offer expired October 9. Medtronic also confirmed that it will exchange its entire remaining MiniMed stake, rather than retain a residual position, using the previously announced final ratio of 4.5939 MMED shares for each MDT share accepted. The final proration factor is expected Wednesday, October 14.
Nearly 298 million shares tendered for 55 million places
| Preliminary exchange-offer results | Shares |
|---|---|
| MDT shares tendered and not withdrawn | 298,024,452 |
| Of those, tendered by guaranteed delivery | 93,311,404 |
| Of those, qualifying odd-lot shares exempt from proration | 757,890 |
| MDT shares expected to be accepted | 55,032,401 |
| MMED shares to be delivered in the exchange | 252,813,348 |
| Final exchange ratio | 4.5939 MMED per accepted MDT |
| Estimated proration for ordinary tenders | Approximately 18.3% |
Dividing all shares expected to be accepted by all shares tendered produces about 18.47%, slightly above Medtronic’s 18.3% estimate. The difference reflects the odd-lot priority: the 757,890 qualifying odd-lot shares are accepted in full before the remaining capacity is apportioned among other tenders. Removing those shares from both sides of the calculation gives approximately 18.26% for the prorated pool, consistent with the company’s rounded estimate.
For an illustration, a shareholder who tendered 1,000 MDT shares and is subject to proration could have roughly 183 accepted and approximately 817 returned. At the 4.5939 ratio, 183 accepted MDT shares correspond to about 840.68 MMED shares before fractional-share settlement. These are approximate outcomes, not allocations confirmed by the exchange agent; the final factor and rounding at the shareholder or intermediary level will determine actual positions.
Odd lots receive a different result
Under the exchange-offer prospectus, a beneficial holder of fewer than 100 MDT shares who validly tendered all of those shares is not subject to proration. A qualifying holder who tendered 99 shares would therefore exchange all 99 at the fixed ratio, receiving an entitlement of 454.7961 MMED shares. Because the offer does not issue fractional shares, the fractional entitlement is settled through cash proceeds from aggregated fractional-share sales, subject to applicable fees.
The exception does not extend to a holder with 100 shares or more, or to someone owning fewer than 100 who tendered only part of the position. We covered the exchange-ratio cap and odd-lot distinction during the pricing period. Today’s results make the difference between the two types of tender much more consequential than it was when the offer was still open.
Why October 14 can still change the result
Of the 298 million MDT shares reported as tendered, 93.3 million—about 31%—came through notices of guaranteed delivery. Those notices reserve the ability to complete the tender process, but the relevant shares still must satisfy the prescribed delivery requirements. If some fail, the pool competing for acceptance shrinks and proration for eligible ordinary tenders would rise, all else equal.
Medtronic says its 18.3% estimate assumes every guaranteed-delivery tender is completed. The company expects to determine the final factor after that delivery period ends and announce it October 14. MDT shares tendered but not accepted are to be returned in book-entry form promptly afterward; shareholders should not treat today’s estimate as their final brokerage allocation.
Medtronic initially offered 225,361,295 MMED shares, with the option to add its remaining 27,452,053 shares in the event of oversubscription. It has now elected to distribute the full 252,813,348-share position through the exchange. Once the transaction completes, Medtronic says it will no longer hold any MMED common stock—a cleaner separation than retaining a residual stake for a later disposition.
The final proration announcement, return of unaccepted MDT shares and delivery of MMED consideration are the remaining mechanics to watch.
