The transaction has a defined outline, although the distribution ratio, record date and name or ticker of the new company have not been announced. NFG shareholders would retain their existing NFG shares and receive a pro rata distribution of at least 80.1% of the shares in Integrated Upstream and Gathering (IUG), subject to the conditions and final approvals still ahead.
Shareholders Get Most of IUG; NFG Could Keep 19.9%
The investor presentation provides an important detail: National Fuel expects to retain up to 19.9% of IUG following the spinoff and subsequently dispose of the stake in a tax-efficient manner. The initial shareholder distribution would therefore transfer control of IUG while leaving NFG with an asset it could eventually monetize to reinforce its investment-grade balance sheet. Neither the amount ultimately retained nor the proceeds from any future disposal can be calculated from the October 14 announcement.
This advances the strategic review we covered on September 18, when the board had not committed to a separation. The eventual distribution still requires an effective SEC registration filing, financing arrangements and final board approval; approval of the plan is not approval of those remaining steps.
Two Businesses with Different Economics
Post-spinoff National Fuel would be a fully regulated gas utility, pipeline and storage company operating in New York, Pennsylvania and Ohio. Following its recently closed Ohio utility acquisition, management describes a business serving roughly 1.1 million utility customers, with nearly $5 billion of rate base, approximately 5 billion cubic feet per day of contracted transportation capacity and 77 billion cubic feet of fully contracted storage capacity.
IUG would hold approximately 1.2 million net Appalachian acres, about 5 trillion cubic feet equivalent of proved reserves and roughly 1.1 billion cubic feet per day of net gas production. Its gathering network handles most of its production, and management projects cash operating costs near $0.53 per thousand cubic feet equivalent for fiscal 2026. Those operating figures, drawn from NFG’s presentation, describe the projected businesses rather than an appraisal of their equity values.
The split would put a commodity-sensitive gas producer beside a rate-regulated infrastructure company. NFG’s presentation projects annual rate-base growth of 5% to 7% for the regulated business and says it does not expect to need incremental equity capital over the next five years under current plans. The upstream company will remain exposed to natural-gas prices, drilling efficiency and access to markets even with its gathering and transportation arrangements.
The Dates and Terms That Remain Open
National Fuel expects the separation during the second half of calendar 2027 and intends the share distribution to be tax-free for federal income-tax purposes for the company and its shareholders. Its current shareholders are expected to own both securities after the deal, but there is no finalized ratio of IUG shares per NFG share. A prospective investor cannot yet determine the number of shares received or the standalone debt and cash balances.
Management says it will issue formal fiscal 2027 guidance with its fourth-quarter earnings release in November 2026. The Form 10 and subsequent transaction documents should clarify financial statements, debt allocation, board and management arrangements, distribution mechanics, timing and retained ownership. We will track the dates in the Upcoming Spinoffs calendar as formal terms emerge.
